"Synapse3," "we," "us," or "our" refers to Synapse3, a Web3 and blockchain business advisory team. "Client," "you," or "your" refers to any individual or entity that accesses our website or uses our services. "Services" refers to any Web3 and blockchain advisory services provided by Synapse3. "Website" refers to synapse3.io and any associated web pages.
3. Services
Synapse3 provides Web3 and blockchain advisory services, including our three main solution categories. We will provide services with reasonable skill and care in accordance with industry standards. We cannot guarantee specific outcomes such as funding success or market adoption. We reserve the right to modify or discontinue any service without notice.
4. Client Responsibilities
You agree to provide accurate information necessary for us to deliver our services and to cooperate with us in the delivery of services. You are responsible for ensuring that your use of our services complies with all applicable laws and regulations. If you implement technical recommendations, you are responsible for proper implementation, testing, and maintenance.
5. Fees and Payment
Our fees vary based on the scope and complexity of services provided. Fees will be specified in a client agreement before services commence. Unless otherwise stated, invoices are due within thirty (30) days of issuance. Reasonable expenses incurred in the delivery of services will be billed separately unless explicitly included in the fee structure. All fees are exclusive of applicable taxes.
6. Intellectual Property
Each party retains ownership of its pre-existing intellectual property. Upon full payment of invoices, you will own the deliverables specifically created for you, subject to our retention of intellectual property in pre-existing materials and general knowledge. We grant you a non-exclusive, non-transferable license to use our proprietary materials included in the deliverables for your internal business purposes only.
7. Confidentiality
Each party agrees to protect the other's confidential information with at least the same degree of care used to protect its own confidential information. Neither party will disclose the other's confidential information to any third party without prior written consent, except as required by law. This obligation survives termination of our relationship.
8. Limitation of Liability
To the maximum extent permitted by law, in no event shall Synapse3 be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim shall not exceed the total amount paid by you to us for the specific services giving rise to the claim during the twelve months preceding the event causing the liability.
9. Indemnification
You agree to indemnify, defend, and hold harmless Synapse3, its officers, directors, employees, agents, and affiliates from any claim, liability, loss, damage, or expense arising from your use of our services, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.
10. Term and Termination
These Terms will remain in effect for the duration of our service relationship. Either party may terminate with thirty days' written notice, unless otherwise specified. Either party may terminate immediately if the other party materially breaches these Terms, becomes insolvent, or engages in illegal activities. Upon termination, all outstanding invoices become immediately due and confidentiality obligations remain in effect.
11. General Provisions
These Terms shall be governed by the laws of the State of California. Any dispute shall first be addressed through good-faith negotiations and then through binding arbitration in San Francisco. You may not assign your rights without our prior written consent. Neither party shall be liable for any failure due to circumstances beyond its reasonable control. If any provision is found to be unenforceable, the remaining provisions will remain in effect.
